So it is:
Gigabyte mobo
AMD Phenom II 3.4 ghz (quad) OC it to 4.0 ghz?
Ati 5770 1gb gddr5
8 gb 1600 mhz ram

It actually isn't a downgrade as the architecture for Sandy Bridge is amazing.
Even though the SB i3 is a dual core but with HT which technically makes it a quad, they are right at AMD's tail and sometimes even beating it.
OP has a AMD Phenom II @ 3.4, checking on Newegg it seems that would be
a AMD Phenom II X4 965
Anand test a Core i3 2100 along with a AMD Phenom II X4 975 @3.5GHz

Tom's did a more detail test of the current processors on the market.
The Core i3 2100 vs AMD Phenom II x4 970 on average FPS, out of the 6 games they tested, Core i3 2100 gets 3 out of 6 and AMD Phenom II x4 970 also gets 3 out of 6, but on minimum FPS the Core i3 gets 3/4 and AMD 970 gets 1/4*
*2 games were out included as they don't include min FPS.
The faster Core i3 2120 vs AMD Phenom II 970, i3 2120 gets 4/6 and the AMD PII 970 gets 2/6.
The Core i3 2100 would be the prefer choice for users on a budget and it's also future proof as mainstream version of Intel Ivy Bridge will still use socket 1155. For a faster one get the i3 2120.

OCing to 4Ghz is a shot in the dark with the 965. I can't get mine stable anywhere after 3.8. I hit a volt wall after 3.8 that I didn't feel comfortable going past.

None of that would matter if he could just OC it. Some people have a preference choice with AMD. Plus aren't sandy bridge mobos more expensive to do the same as amd boards, IE sli/cfx?

If a person were to get a Core i3 I doubt they will get a board to run SLI or CFX.
A OC CPU will definitely out perform one running at stock clocks, but comparing both CPU in stock clocks, Sandy Bridge i3 is a better option to AMD's. And yes some people still prefer AMD as it's their choice.
If you were to build a simple system for your parents or a HTPC, AMD Llano will be a solid pick over Sandy Bridge Core i3.

The cheap dual core laptop versions of the i3 are crap. But then again the cheap laptop version of anything is crap.
High end i3's are very decent for a mid range computer, and will deal with almost everything you throw at it (given you aren't a 3d modeller or dedicated data processor).
