i personally would go for a 2.4GHz quad, but it depends on the other specs of the computer also; gpu, RAM.

gpu = graphics processing unit. i meant like that it depends on your graphics card also, for the quality at which you can play games.

It also depends on how well the game is coded.
If a game can only take advantage of 2 cores then the dual core will be faster than the quad because of speed at 3GHz as to 2.4GHz on the quad.
Multithreaded games that take advantage of all 4 cores on the quad will beat a dual.
Other factors are your ram, gpu, and hard disk they all come into play.

I rather take the 2.4 quad. It can handle things as well plus it can hold a lot more load. So for example, it will probably have the same FPS for crysis as the duo core, but it can also run microsoft word, IE, on top of the crysis because of the extra cores.

yeah u already hav a good GPU so u should just get quad and OC a little if possible

| Get the quad. You'll be able to OC it to 3GHz with the stock cooler anyway.

don't overclock it. you'll shorten the life of your cpu by a lot, if you don't manage to ruin it instantly.

Wrong.
If you know what you're doing, an overclocked CPU will, for all intents and purposes, last just as long as one running at stock speeds. By your logic you should by a 2GHz processor as opposed to a 3GHz one because the 2GHz will last longer. My overclocked Pentium 133MHz still works to this day.
Also, it's just about impossible to kill a chip with overclocking unless you're trying.

i was talking about someone with absolutely no knowledge in overclocking, and i bet they could reduce the life span if they didn't know what they were doing.

They'd likely only make it unstable, but that's why I'd teach them my overclocking ways.
