Going to spend 300 on what ever, What should I upgrade?

CPU upgrade to around a Phenom, and maybe a new graphics card (8800GT).

But it mostly depends on what you're doing. You might not need an upgrade if you only play games once in a while. But if you play them on a daily basis, then the Athlon processor will really show some slow-downs. More information on the graphics card will help too.
