How do I cheat?

1st Question - How would I find a time code that looks like this 04:43:54?
2nd Question - How would I add a gameshark code to cheatengine?
3rd Question - How would I find Project64 (an N64 Emulator) codes, would I have to multiply the value by something like in flash or what?

The value might be stored in total seconds.

As previously stated, it may be stored in total seconds. (More likely it's in milliseconds though.)

You would have to convert it into an auto assembler script first. Personally I have never used GameShark so I don't know what the code looks like.

You should just be able to do normal 2/4 byte scans, I don't know the architecture the N64 used, so mind the endians.

Most emulators have dedicated memory sections for the game to use for storing values. You should check out the emulators site to see if they inform the user of the given memory region to be used when cheating. Most emulators have their own hacking tools added to them as well.
